This lecture features Jill Fisch, the Perry Golkin Professor of Law, University of Pennsylvania Law School. Over the past twenty years, two of the hottest corporate governance topics have been shareholder empowerment and executive compensation reform. At the same time, corporations have been criticized for increasingly risky business decisions. Using the example of JP Morgan, this talk asks the question whether, in our effort to impose greater accountability, we are structuring incentives that are in tension with optimal risk management.
